These OneStock AI Terms (‘AI Terms’) are supplemental and form an integral part of the applicable Main Subscription Agreement, or other agreement in place between Customer and OneStock governing access to and use of the Service (‘Agreement’) as additional terms. Capitalised terms not defined in these AI Terms have the meaning given in the Agreement.
1. Applicability and Scope of the AI Terms
The AI Terms apply only to the AI Features provided to Customer by OneStock as part of the Services. The AI Terms do not modify the existing Agreement between Customer and OneStock but expand on the same to address OneStock’s AI Features, and all existing Agreement terms remain unchanged.
2. Definitions
OneStock AI Feature(s) means feature(s) and functionality made available by OneStock that are identified by OneStock as artificial intelligence.
Input(s) means any prompts, materials or other content provided or made available by Customer to OneStock AI Feature(s).
Output(s) means any materials, files or other content generated and returned by OneStock AI Feature(s).
3. Use, restrictions and ownership of Input and Output
3.1 OneStock AI Feature(s) may require the Customer to provide Input, which will be used by OneStock AI Feature(s) to generate Output. OneStock retains all rights, title, and interest in the OneStock Services (including improvements and enhancements to the OneStock SaaS Platform, along with new products and features).
3.2 The Customer must not (and must ensure its users do not): (a) use the OneStock AI Features illegally; (b) use Output to develop AI models that compete with OneStock; (c) use any method to extract data from the AI Features other than those permitted under the Agreement; or (d) use the AI Features in a manner outside the scope of the Agreement. OneStock may monitor use of the AI Features for compliance with these AI Terms and reserves the right to suspend or restrict access in case of suspected violation.
3.3 Any indemnity provided by OneStock under the Agreement relating to non-infringement by the Services of any intellectual property or other third party rights does not apply to any Output.
4. AI Limitations
Output is generated by artificial intelligence. Output is not verified by OneStock for accuracy. OneStock makes no warranty or guarantee as to the accuracy, completeness, or reliability of Output and will in no way be liable or responsible for the Customer’s use of Output or any omissions or errors in Output. The Customer is responsible for evaluating Output for accuracy and suitability for any use case, including by employing human review of Output and obtaining any relevant clearances before using or relying on the AI Output for any purpose.
5. Trials and Betas
If Customer receives access to the AI Features on a free or trial basis or as a beta, or early access offering (“Trials and Betas”), use is permitted only for Customer’s internal evaluation during the period designated by OneStock. Trials and Betas are optional and either party may terminate participation or discontinue using Trials and Betas at any time for any reason. Trials and Betas may be inoperable, incomplete, or include features that OneStock, at its own discretion may add, remove, change, separately release, or never release. Trials and Betas and their features and performance metrics comprise OneStock’s Confidential Information. Notwithstanding anything else in this Agreement, OneStock provides Trials and Betas “AS IS’.
